All registrations and accounts are strictly restricted to commercial business entities; consumer-grade utilization of the platform is explicitly prohibited. Swarmic Substrate LLC operates strictly as a Business-to-Business (B2B) software infrastructure and technology framework provider. All accounts, licenses, and purchases processed through our authorized reseller are explicitly designated for commercial, professional, or developer evaluation use. By purchasing access, you certify that you are acting as a corporate entity, sole proprietor, or professional developer, and you acknowledge that standard consumer protection laws (including the 14-day right of withdrawal for private consumers in the EU) do not apply to this transaction.
The platform provisions automated software capability access exclusively on a B2B monthly subscription framework combined with optional, on-demand prepaid capacity refills. All commercial transactions, cross-border tax compliance, localized B2B invoicing, and VIES validations are securely structured and processed by our authorized Merchant of Record reseller via encrypted card processors and bank gateways.
The dynamic baseline commercial tiers are precisely established as:

Compute Credit Lifecycle Framework: Monthly base capacity credits allocated within Tier 01 through Tier 05 subscription tiers refresh dynamically at the start of each monthly billing cycle and maintain a strict zero-rollover parameter. Any unconsumed monthly base capacity credits expire automatically at the end of the billing period. Supplementary capacity refills (Prepaid Top-Ups) remain permanently active and non-expiring within the active workspace balance.
In the event that a workspace’s active Compute Credit balance reaches zero, background automation pipelines will safely pause to eliminate overage liabilities. Customers may proactively expand their execution parameters at any time via manual, one-time top-ups:

In strict compliance with international commercial regulations and Delaware corporate law, the Customer explicitly acknowledges that all platform resources—including monthly subscriptions and manual capacity top-ups—trigger immediate, automated cloud infrastructure provisioning and reserve dedicated compute thresholds instantly upon checkout.
Consequently, to maintain infrastructural integrity, protect upstream API overheads, and prevent database balance exploitation, all individual transactions are final, non-refundable, and non-reversible. The standard 14-day right of withdrawal for private consumers within the European Union (EU) is explicitly waived under this strictly commercial B2B framework. Subsequent subscription cancellations can be initiated proactively by the Customer at any time via the active billing dashboard link within the customer billing dashboard, halting future automated recurring charges instantly.
To preserve infrastructure architecture stability and protect our serverless compute nodes, all deployments are bound by our Fair Usage Policy (FUP). The platform is technically restricted to processing inbound workflows (including automated inbound email triage nodes and latency-optimized inbound voice AI reception routing modules). Use of the platform's infrastructure for unsolicited outbound text amplification, bulk outbound telemarketing, or systematic automated robocalls is strictly forbidden and constitutes a material breach of terms. We reserve the administrative right to automatically throttle, cap, or temporarily suspend compute allocations displaying anomalous utilization patterns that threaten the computational stability of our core routing layers.
You explicitly acknowledge and agree that certain elements of the Platform interface are presential, experimental, or conceptual. Any interactive elements, including but not limited to the Active Tensor Weights Buffer slider, Sovereign Sandbox terminals, network graphs, and throughput counters displaying fixed figures (e.g., 4,207,564) are explicitly designated as "Simulation Metrics". These modules function as frontend user-interface prototypes intended to demonstrate future production designs and do not represent active, real-time cloud server telemetry or live hardware loads. Developer references and code snippets (cURL, Python, Node.js) are provided solely as structural architectural roadmaps and template syntax examples.
The Platform displays open-source frameworks and technologies under the section "STACK_MAPPED" (including NVIDIA TensorRT-LLM, vLLM, HuggingFace Candle, Prometheus, and Qdrant). You acknowledge that this section represents a structural mapping of open-source software dependencies compiled within our architectural roadmap. No endorsement, official partnership, affiliation, or joint venture is implied between Swarmic Substrate LLC and the respective trademark owners of those open-source projects.
In alignment with the restrictive policies of our financial providers, you are strictly prohibited from using the Swarmic Substrate framework to develop, deploy, or interface with: (a) Autonomous outbound telemarketing, unauthorized voice cloning, or sub-vocal transmission software; (b) Unregulated digital financial custody, decentralized asset transmission, or unlicensed financial operations; (c) Any activities violating the EU AI Act mandates for high-risk AI or GDPR multi-region data boundary protocols. Violation results in immediate termination without right to refund.
WARRANTY DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, PLATFORM, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, INFRASTRUCTURE OVERLAYS, EXPERIMENTAL INTERFACES, AND SIMULATORS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SWARMIC SUBSTRATE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
In no event shall Swarmic Substrate LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the platform. To the maximum extent permitted under applicable corporate law in the State of Delaware, total cumulative company liability shall never exceed the fees paid by Customer during the immediate thirty (30) day window prior to the alleged incident.
IN NO EVENT SHALL SWARMIC SUBSTRATE LLC, ITS DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, INTERNAL INFRASTRUCTURE DOWN-TIME, OR LOSS OF GOODWILL, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE, OR ANY OUTPUT GENERATED BY THE PLATFORM'S LOCAL SIMULATORS.
MAXIMUM FINANCIAL CAP: IN NO EVENT SHALL THE TOTAL COMBINED LIABILITY OF SWARMIC SUBSTRATE LLC FOR ALL CLAIMS ARISING UNDER THIS AGREEMENT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO OUR AUTHORIZED BILLING PROVIDER FOR THE SPECIFIC SERVICE IN QUESTION DURING THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Swarmic Substrate LLC provides full intellectual property indemnity for its proprietary orchestration logic and system core routines. We warrant that the infrastructure layouts and multi-agent deployment modules provisioned through our platform do not infringe upon the valid copyrights, trademarks, or patent assets of any third-party entity across US and international jurisdictions.
The platform executes automated multi-cloud geofencing and dynamic failover architectures designed to support strict operational continuity parameters. While high-tier business deployments incorporate disaster recovery routing profiles, user acknowledge that cluster allocations rely on distributed cloud substrates, and temporary maintenance cycles shall be handled under standard enterprise infrastructure constraints.
This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts located in Delaware.
